3. INFORMATION WE COLLECT
We collect and process various categories of personal data depending on how you interact with our Services. The types of personal data we may collect include:

Account Registration Data: When you create an account, we collect your full legal name, email address, telephone number, company name (if applicable), company registration number, VAT registration number, business address, job title or role, and login credentials (username and hashed password).
Billing and Payment Information: When you subscribe to our paid Services, we collect billing name and address, payment card details (processed securely by our PCI-DSS compliant payment processor), bank account details for direct debit payments, purchase history and transaction records, and invoicing preferences.
Financial and Tax Data: To provide our tax reporting services, we collect and process transaction records and accounting data, invoices, receipts, and expense documentation, bank statements and reconciliation data, payroll information including employee names and National Insurance numbers, VAT records and calculations, corporation tax information, self-assessment data, PAYE submissions, and any other financial information necessary for tax compliance.
Communications Data: When you contact us, we collect the content of emails, chat messages, and support tickets, call recordings (where consent is obtained), feedback and survey responses, and any attachments or documents you share with us.
3.2 Information Collected Automatically
Device and Technical Data: We automatically collect IP addresses and geolocation data (at city level), browser type, version, and language settings, operating system and platform, device type, model, and unique device identifiers, screen resolution and display settings, time zone and regional settings, and referring website or application.
Usage and Behavioural Data: We collect information about how you use our Services, including pages viewed and features accessed, time spent on pages and in the application, clickstream data and navigation patterns, search queries within the platform, reports generated and submissions made, errors encountered and support requests, and frequency and timing of logins.
Log Data: Our servers automatically record information including access times and dates, server requests and responses, error logs and diagnostic information, API call logs and integration events, and authentication and security events.
3.3 Information from Third Parties
Accounting Software Integrations: When you connect third-party accounting software (such as Xero, QuickBooks, Sage, or FreeAgent), we receive financial transaction data, chart of accounts and categorisations, customer and supplier information, bank feed data, invoice and payment records, and reconciliation status.
HMRC API Data: When you authorise submissions, we may receive submission confirmations and reference numbers, error messages and validation results, tax calculation confirmations, and historical submission records.
Business Intelligence Services: We may receive company verification data from Companies House, credit reference information (for enterprise accounts), and fraud prevention signals from industry databases.
4. LEGAL BASES FOR PROCESSING
Under UK GDPR, we must have a valid legal basis for processing your personal data. The legal bases we rely on are:
4.1 Performance of Contract (Article 6(1)(b))
Processing is necessary for the performance of a contract to which you are party, or to take steps at your request prior to entering into a contract. This includes creating and managing your account, providing access to our tax reporting platform, processing your financial data to generate reports, submitting tax returns to HMRC on your behalf, processing subscription payments, and providing customer support.
4.2 Legal Obligation (Article 6(1)(c))
Processing is necessary for compliance with a legal obligation to which we are subject. This includes retaining financial records for statutory periods (7 years under UK tax law), complying with anti-money laundering (AML) regulations, responding to valid legal requests from law enforcement or regulatory authorities, maintaining records required by HMRC as a registered MTD software provider, and fulfilling our obligations under the Companies Act 2006.
4.3 Legitimate Interests (Article 6(1)(f))
Processing is necessary for the purposes of our legitimate interests, except where such interests are overridden by your interests or fundamental rights. Our legitimate interests include improving and developing our Services and user experience, ensuring network and information security, preventing fraud and protecting against security threats, conducting business analytics and market research, administering our business and operational processes, and enforcing our terms of service and legal rights. We conduct legitimate interest assessments (LIAs) to balance our interests against your rights, and copies of these assessments are available upon request.
4.4 Consent (Article 6(1)(a))
Where none of the above legal bases apply, we will obtain your explicit consent before processing your personal data. 13. CHILDREN'S PRIVACY
Our Services are not directed to individuals under the age of 18, and we do not knowingly collect personal data from children. Our Services are designed for business use by adults. If we become aware that we have collected personal data from a child without appropriate parental or guardian consent, we will take steps to delete that information as quickly as possible. IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING OR USING THE TRW PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE WITH ANY PART OF THESE TERMS, YOU MUST NOT USE OUR SERVICES.
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (whether an individual or entity, referred to as "you", "your", "User", or "Customer") and TRW Limited, a company registered in England and Wales under company number 38813710, trading as Tax Reporting Workflow ("TRW", "we", "us", or "our").
These Terms govern your access to and use of the TRW website located at www.trwreport.com, our cloud-based tax reporting platform, mobile applications, APIs, and any other products, services, or features we offer (collectively, the "Services" or "Platform").
1. DEFINITIONS AND INTERPRETATION
1.1 In these Terms, unless the context otherwise requires:
"Account" means the user account created when you register to use the Services.
"Authorised Users" means individuals authorised by you to access and use the Services under your Account, subject to the user limits of your Subscription plan.
"Business Day" means any day other than a Saturday, Sunday, or public holiday in England and Wales.
"Confidential Information" means all information disclosed by either party that is designated as confidential or should reasonably be understood to be confidential given the nature of the information.
"Customer Data" means all data, content, and information uploaded, submitted, or transmitted by you or your Authorised Users through the Services, including financial records, tax documents, and business information.
"HMRC" means Her Majesty's Revenue and Customs, the UK's tax, payments, and customs authority.
"MTD" means Making Tax Digital, HMRC's initiative requiring businesses to keep digital records and submit VAT returns using MTD-compatible software.
"Subscription" means your paid subscription to access and use the Services as set out in your chosen plan.
"Subscription Period" means the period during which you have paid for and have an active Subscription (monthly or annual).
1.2 References to statutes or statutory provisions include any subordinate legislation made under them and any amendments, re-enactments, or replacements from time to time.
2. ACCOUNT REGISTRATION AND ELIGIBILITY
2.1 Eligibility: To use the Services, you must be at least 18 years of age, have the legal capacity to enter into a binding contract, be authorised to act on behalf of any business entity for which you are registering, and not be prohibited from using the Services under any applicable law.
2.2 Account Creation: To access the Services, you must create an Account by providing accurate, current, and complete registration information, including your full legal name (or company name), valid email address, telephone number, business address, VAT registration number (if applicable), and any other information we reasonably require.
2.3 Account Security: You are solely responsible for maintaining the confidentiality of your Account credentials (username and password), implementing reasonable security measures (including enabling multi-factor authentication where available), restricting access to your Account and devices, and promptly notifying us at security@trwreport.com of any suspected unauthorised access or security breach.
2.4 Account Responsibility: You are responsible for all activities that occur under your Account, whether authorised by you or not. We are not liable for any loss or damage arising from your failure to secure your Account credentials.
2.5 Authorised Users: You may invite Authorised Users to access your Account, subject to the user limits of your Subscription plan. You are responsible for ensuring that all Authorised Users comply with these Terms. Any breach by an Authorised User shall be deemed a breach by you.
3. ACCEPTABLE USE POLICY
3.1 Permitted Use: You may use the Services only for their intended purpose of tax reporting, financial record-keeping, and related legitimate business activities, and only in accordance with these Terms, all applicable laws and regulations, and any Documentation provided.
3.2 Prohibited Conduct: You agree NOT to:
- • Use the Services for any unlawful purpose, including tax evasion, money laundering, or fraud
- • Submit false, misleading, inaccurate, or fraudulent information to HMRC or any other authority
- • Attempt to gain unauthorised access to any systems, networks, or data
- • Interfere with, disrupt, or overburden the Services or their infrastructure
- • Introduce viruses, malware, or other malicious code
- • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code
- • Remove, alter, or obscure any proprietary notices or labels
- • Resell, sublicense, or redistribute the Services without our prior written consent
- • Use the Services to compete with TRW or develop competing products
- • Use automated means (bots, scrapers) to access the Services without authorisation
- • Exceed any rate limits or usage restrictions imposed by your Subscription plan
3.3 Consequences: Violation of this Acceptable Use Policy may result in immediate suspension or termination of your Account, forfeiture of any prepaid fees, and potential legal action.
4. SUBSCRIPTION PLANS AND FEES
4.1 Subscription Plans: We offer various Subscription plans as described on our pricing page, including Starter (designed for sole traders and small businesses), Professional (designed for growing businesses with multiple entities), and Enterprise (custom solutions with dedicated support and advanced features). Features, user limits, and pricing vary by plan and are subject to change.
4.2 Free Trial: We may offer a free trial period for new users. At the end of the trial, you must subscribe to a paid plan to continue using the Services. We reserve the right to modify or discontinue free trials at any time.
4.3 Fees: All fees are quoted in British Pounds Sterling (GBP) unless otherwise specified, exclusive of VAT and other applicable taxes (which will be added where required), non-refundable except as expressly stated in these Terms, and subject to change with 30 days' prior notice.
4.4 Annual vs. Monthly Billing: Annual Subscriptions are billed as a single payment at the start of the 12-month Subscription Period and include a discount compared to monthly pricing. Monthly Subscriptions are billed in advance each month on the anniversary of your subscription start date.
4.5 Price Changes: We may change our fees at any time. Price increases will not affect your current Subscription Period but will apply upon renewal. We will provide at least 30 days' notice of any price increases.
5. PAYMENT TERMS
5.1 Payment Methods: We accept payment by credit card (Visa, Mastercard, American Express), debit card, Direct Debit (via GoCardless), and bank transfer (for Enterprise customers only, subject to approval).
5.2 Authorisation: By providing payment information, you authorise us (and our payment processors) to charge your payment method for all fees incurred, including recurring charges for Subscription renewals, any applicable taxes, and additional fees for usage exceeding your plan limits.
5.3 Failed Payments: If a payment fails, we will notify you and attempt to process the payment again. If payment continues to fail, we may suspend your access to the Services until payment is received, downgrade your Account to a limited-feature state, or terminate your Subscription after 14 days of non-payment.
5.4 Late Payments: We reserve the right to charge interest on overdue amounts at the rate of 4% above the Bank of England base rate, compounded monthly.
5.5 Invoices: Invoices will be sent electronically to the email address associated with your Account. You are responsible for ensuring your billing information is accurate and up to date.
6. REFUNDS AND CANCELLATION
6.1 30-Day Money-Back Guarantee: Annual Subscriptions are eligible for a full refund if you cancel within 30 days of your initial purchase or renewal date. To request a refund, contact support@trwreport.com within the 30-day period. This guarantee does not apply to monthly Subscriptions, renewals after the initial 30-day period, or accounts terminated for violation of these Terms.
6.2 Cancellation: You may cancel your Subscription at any time through your Account settings or by contacting support. Cancellation will take effect at the end of your current Subscription Period. No partial refunds will be provided for unused portions of monthly Subscriptions.
6.3 No Other Refunds: Except as expressly stated above or required by applicable law, all fees are non-refundable. This includes fees paid for Subscriptions, add-on services, or any other charges.
6.4 Consumer Rights: If you are a consumer within the meaning of the Consumer Rights Act 2015, your statutory rights are not affected by these Terms.
7. YOUR DATA AND CONTENT
7.1 Ownership: You retain all ownership rights in your Customer Data. These Terms do not transfer any ownership of your data to TRW.
7.2 Licence Grant: You grant TRW a non-exclusive, worldwide, royalty-free licence to use, copy, store, process, and transmit your Customer Data solely for the purposes of providing the Services to you, maintaining and improving the Services, generating aggregated, anonymised statistics (which do not identify you or any individual), and complying with applicable laws and regulations.
7.3 Your Responsibilities: You are solely responsible for the accuracy, quality, and legality of your Customer Data, obtaining all necessary rights, consents, and permissions to upload and process your data, ensuring your data does not violate any third-party rights or applicable laws, and backing up your data (though we also maintain backups as part of our service).
7.4 Data Access: We will not access your Customer Data except as necessary to provide the Services, respond to support requests you initiate, investigate suspected violations of these Terms or illegal activity, or comply with valid legal requests from authorities.
7.5 Data Export: You may export your Customer Data at any time through the platform's export functionality. Upon termination, you will have 30 days to export your data before it is deleted.
8. TRW INTELLECTUAL PROPERTY
8.1 Ownership: TRW and its licensors own all rights, title, and interest in and to the Services, including all software, algorithms, interfaces, APIs, Documentation, the TRW name, logo, and branding, and all associated Intellectual Property Rights.
8.2 Limited Licence: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during your Subscription Period.
8.3 Restrictions: You may not copy, modify, or create derivative works of the Services, sublicense, sell, resell, transfer, or distribute the Services, use the Services to develop competing products or services, or remove or alter any proprietary notices or labels.
8.4 Feedback: If you provide us with suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free licence to use that Feedback for any purpose without obligation to you.
9. THIRD-PARTY SERVICES AND INTEGRATIONS
9.1 Integrations: The Services may integrate with third-party software and services, including accounting platforms (Xero, QuickBooks, Sage, etc.), HMRC APIs for Making Tax Digital submissions, payment processors, and other third-party tools.
9.2 Your Responsibility: Your use of third-party services is subject to those services' own terms and conditions. You are responsible for ensuring you have the right to connect third-party services, complying with third-party terms of service, and any data shared with third-party services.
9.3 No Endorsement: We do not endorse or warrant the reliability, accuracy, or suitability of any third-party services. We are not responsible for the acts or omissions of third-party service providers.
10. DISCLAIMERS AND WARRANTIES
10.1 "AS IS" BASIS: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10.2 NO GUARANTEE: WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS.
10.3 Tax Advice Disclaimer: TRW provides tax reporting software and tools. WE DO NOT PROVIDE TAX, LEGAL, OR FINANCIAL ADVICE. You are solely responsible for ensuring the accuracy and completeness of information submitted to HMRC, compliance with all applicable tax laws and regulations, consulting with qualified tax professionals for advice specific to your situation, and reviewing and verifying all reports before submission.
10.4 HMRC Submissions: While we facilitate submissions to HMRC through their APIs, we do not guarantee acceptance of any submission, accuracy of HMRC's processing, or the outcome of any tax filing or assessment.
11. LIMITATION OF LIABILITY
11.1 EXCLUSION OF DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRW AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OR BUSINESS OPPORTUNITIES, COST OF SUBSTITUTE SERVICES, FINES OR PENALTIES IMPOSED BY HMRC OR OTHER AUTHORITIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 LIABILITY CAP: OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO TRW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).
11.3 Exceptions: Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
11.4 Essential Basis: You acknowledge that these limitations of liability are an essential basis of the bargain between you and TRW, and that TRW would not provide the Services without these limitations.
12. INDEMNIFICATION
12.1 You agree to indemnify, defend, and hold harmless TRW and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your breach of these Terms, your use or misuse of the Services, your Customer Data, your violation of any applicable law or regulation, inaccurate or fraudulent tax submissions made through the Services, or any dispute between you and a third party.
12.2 We reserve the right to assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defences.
13. TERM AND TERMINATION
13.1 Term: These Terms commence when you first access or use the Services and continue until terminated in accordance with this section.
13.2 Termination by You: You may terminate your Account and these Terms at any time by cancelling your Subscription through your Account settings and confirming deletion of your Account.
13.3 Termination by TRW: We may suspend or terminate your access to the Services immediately and without notice if you breach these Terms (particularly the Acceptable Use Policy), fail to pay fees when due (after a 14-day grace period), engage in fraudulent or illegal activity, or if we are required to do so by law. We may also terminate your access for any reason with 30 days' prior notice.
13.4 Effect of Termination: Upon termination, your right to access and use the Services ceases immediately, you must pay any outstanding fees, you will have 30 days to export your Customer Data (unless terminated for breach), after 30 days, your Customer Data will be permanently deleted, and sections of these Terms that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive termination.
14. GOVERNING LAW AND JURISDICTION
14.1 Governing Law: These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
